本服务条款(以下称「本条款」)约束您对 loreels.com 上 Loreels(影叙)AI 视频平台(以下称「本服务」)的使用。使用本服务即表示您代表自己及您所代表的组织同意本条款。

2. 本服务
Loreels 提供开发剧本、生成与译制剧集、审核以及分发到第三方平台的工具。只有在贵组织通过 OAuth 连接账号并明确提交发布任务后,才会向 TikTok、YouTube 或其它平台发布。
3. 账号与授权
- Team and enterprise accounts are created and joined by invitation from the organization. Personal creator accounts can be created directly where Loreels has opened public registration, and otherwise by invitation link. You must provide accurate information and keep your credentials secure.
- An administrator of a team organization may allocate the organization's credits to its own members, review content and connect or disconnect distribution accounts on the organization's behalf. In a personal account, credits cannot be allocated to any other user.
- Connecting a platform account grants Loreels permission to act on it only for the features your organization enables.
- You are responsible for the content you create and publish and for compliance with the policies of TikTok, YouTube and applicable law.
4. 费用、积分与付款
- The Service is paid for with prepaid credits sold in packages priced in US dollars. The price, the number of credits and the payment methods are shown before you confirm payment.
- Credit packages are one-off purchases. Subscription plans renew automatically at the end of each billing period until cancelled; card credentials are held by the acquiring payment channel. Section 4a sets out how plans renew, how to cancel one, and what happens when a plan ends.
- Payments are processed by a licensed payment service provider on its hosted checkout page. Credits are added to your organization once the provider confirms the payment.
- Credits may be used (a) for jobs your organization runs, at the rates shown in the Service for your organization, and (b) for purchases in marketplaces we operate, such as assets and template recipes, under the Marketplace Rules.
- Credits have no cash value. They cannot be withdrawn, redeemed for cash or exchanged for anything outside the Service. A refund of a purchased credit package reverses that purchase under the Return Policy; it is not a redemption of credits. Nothing in these Terms limits a statutory right of withdrawal that applies to you, as described in the Return Policy.
- Credits cannot be transferred between users, accounts or organizations. Each identity you hold, such as your personal account and each team you belong to, is a separate account for this purpose. The only exceptions are: (i) a marketplace purchase, in which credits pass from the buyer to the seller and to us under the Marketplace Rules; (ii) creator earnings and incentive rewards that we grant to creators under the terms that apply to them; (iii) reversals, refunds, disputes or corrections that we make; and (iv) an administrator of a team organization allocating the organization's credits to its own members. A marketplace listing or purchase that does not reflect a genuine sale and is used to move credits between users is a prohibited transfer, and we may reverse it.
- Credits included in a plan ("plan credits") are granted for each monthly grant cycle of your plan and expire 30 days after they are granted. Where a plan grants the credits for the whole term in a single grant, those credits expire at the end of that term. Plan credits do not roll over: any part that is unused when they expire is removed. The amount of each grant and its expiry date are shown before you confirm payment and in your wallet.
- Credits earned through the Service, including creator earnings and incentive rewards, cannot be refunded and expire on the date stated when they are granted.
- We may freeze, withhold, reverse or revoke credits in connection with a dispute, a refund, suspected fraud, self-dealing or a breach of these Terms. If actual usage exceeds the credits reserved for a job, your balance may become negative, and credits added later are applied first to the amount owed. We may correct balances affected by an error, and we keep a record of every correction.
- Credits received from another organization are used at the rates that apply to the receiving organization.
- Credits spent through your organization's API keys are treated as spent by your organization, whoever holds the key. Reselling access to the Service through API keys requires a separate written agreement with us.
- Refunds are handled under our Return Policy.
- Prices and applicable taxes are as shown on the checkout page.
4a. Subscription plans, renewal and cancellation
- Plans and periods. We offer personal plans and team plans. A personal plan is sold for a monthly, quarterly or yearly period. A team plan is sold for a yearly period and includes a fixed number of seats. The tier, the period, the price, the credits included and the limits that come with the plan — such as concurrent jobs, projects, seats and storage — are shown on the plan page and again on the checkout page before you confirm payment. The terms of the plan you buy are fixed when you subscribe: a later change we make to our plan tiers does not change a plan that is already running.
- Credits included in a plan. How the credits included in a plan are granted, and when they expire, is set out in section 4. This section does not vary it. Whether your plan grants its credits for each monthly grant cycle or grants the credits for the whole term in a single grant is shown before you confirm payment.
- Automatic renewal. Your plan renews automatically for a further period of the same length at the end of each period, and the payment method you used is charged again, until you cancel. This happens without any further action by you. Your card details are held by the acquiring payment channel, not by us, and the charge is initiated by that channel. At least three days before each renewal charge — and further ahead for quarterly and yearly plans — we email a reminder to the address registered for the plan; for a team plan that reminder goes to the organization's administrator. Each renewal is a separate purchase, and your statutory right to withdraw from it is set out in the Return Policy.
- Price of a running plan. We do not change the price of a plan while it is running. If we change the price of a tier, the new price applies only when a plan is taken out again after the change.
- Cancelling. You can cancel a plan at any time in the Service, from your wallet. Cancelling takes effect at the end of the period you have already paid for: the plan keeps working until then, no further charge is taken, and credits that have already been granted keep the expiry date they were given — cancelling does not remove them. You can undo a scheduled cancellation at any time before that period ends. Once a plan has actually ended it cannot be reopened; you would take out a new plan.
- If a renewal payment fails. If a renewal charge does not go through, the payment channel may retry it. While it is retrying, your plan stays in place and we do not treat it as cancelled. We do not add a grace period of our own on top of the channel's retries, and we do not control how long they continue. If the retries do not succeed and the plan is terminated on that basis, the plan ends at that point, the credits included in that plan that you have not yet used are removed, and the limits that came with the plan stop applying. Credits you bought separately in a credit package are not affected.
- When a plan ends. When a plan ends, for any reason, we stop granting further credits and the limits that came with the plan stop applying. Credits already in your balance that were not removed under the paragraph above keep their own expiry date and can still be spent. Your right to use Output commercially that was generated while a plan was active continues as described in section 5. We do not delete your projects or files because a personal plan has ended.
- Team plans: read-only state. This paragraph applies to team plans only. When every team plan an organization has held has come to an end, the organization becomes read-only: members can still sign in and see the organization's existing projects and files, but generating, buying in our marketplaces, inviting members and allocating the organization's credits are blocked until a team plan is active again. Taking out a team plan again lifts the read-only state. We keep the organization's data unchanged for a retention period that starts when the read-only state begins; we will tell you that period on request. The organization is not dissolved automatically at the end of it, and we do not dissolve it without first giving it the opportunity to export its data.
- Moving to a different plan. There is no change-of-plan action: you move to a different plan by cancelling the one you have and taking out the other. If the plan you are taking out has a lower seat or project limit than your organization is already using, we will not accept the order until you have reduced the number of active members or archived enough projects to fit within it. We do not remove your existing members, projects or files in order to make a smaller plan fit.
5. 您的内容与知识产权
- You retain all rights in the scripts, images, audio and other materials you upload ("Input"). You grant us a non-exclusive licence to store, process and transmit Input solely to operate the Service for you.
- As between you and us, your organization owns the videos, images and text generated for it through the Service ("Output"), subject to the terms of the third-party AI models used to produce it. We claim no ownership of your Output.
- Commercial use. While your organization holds an active paid plan, you may use the Output commercially, including in advertising, in content you monetize and in work you deliver to clients. This right is the same on every paid plan, personal or team; it is not reserved for the higher plans. It continues to apply to Output generated while a plan was active after that plan ends, unless the purchase of that plan is refunded or withdrawn in full under the Return Policy, in which case the licence granted by that plan does not survive the refund.
- Without an active paid plan, you may use the Output only for private, non-commercial purposes. Output generated without an active plan may be delivered with a visible Loreels watermark; where it is, that watermark is the visible marker that the Output has not been licensed for commercial use. Removing, cropping or obscuring it does not grant you a commercial licence and is a breach of these Terms.
- A commercial licence covers the Output only. It grants no further right in your Input, in materials you obtained from the asset library or from a marketplace, or in third-party music, footage, trademarks or likenesses; each of those may be used only under the licence on which you obtained it. Commercial use also remains subject to the terms of the third-party AI models used to produce the Output and to section 6.
- You warrant that you hold the rights needed to use your Input and that your Input and the Output you publish do not infringe any third party's copyright, trademark, likeness or other rights.
- We may remove or disable content that we reasonably believe infringes third-party rights or violates these Terms.
- The Service itself, including its software, interface and trademarks, remains the property of Reels Technology Limited.
5a. Showing your Output on Loreels
- This section applies only to Output you have published. Publishing is an action you take in the Service on a work you choose. The first time you publish, and again whenever the Contributor Agreement changes, we ask you to accept that agreement and we record which version you accepted against the identity you were using. We do not publish, recommend, or use as a template example any Output that you have not published.
- What you allow us to do. While Output stays published, you grant us a non-exclusive, royalty-free, worldwide licence to host, reproduce, display and play it, and to make covers, thumbnails and short previews from it, in order to show it (a) in the public works feed, (b) in placements we curate, including editor's picks and the home page, (c) in the template workshop, including as the example that shows what a template produces, and (d) wherever those surfaces appear inside the Service. This licence covers display within the Service and our own channels for it. It does not cover using your Output in advertising outside the Service; we would ask you separately for that.
- Templates and "make similar". If you publish Output as a template, or as the example for a template, you also allow other users of the Service to use that template to make their own videos, on the licence mode you chose when you submitted it. What another user makes this way is that user's own Output, not yours.
- This is a permission to show, not a transfer. You keep every right in your Output. Section 5 continues to apply and we claim no ownership of it. Your own right to use the Output commercially under section 5 is unaffected and is in no way exclusive to us. Granting this licence does not entitle you to payment, except where a creator earnings or incentive scheme we operate expressly applies to the Output.
- Recommendation is our decision. Whether published Output is recommended, shown on the home page, or used as a template example is an editorial decision we make. Once you have published, we do not ask you again before making it. We may make, change or undo such a decision at any time, we record a reason internally when we do, and we are under no obligation to recommend anything. We may also take published Output offline or decline to publish it, under sections 5, 6 and 7.
- Stopping publication. You can stop publishing your Output at any time in the Service. From then on we stop serving it in the public works feed and in curated placements. Withdrawal works going forward only, and the following paragraph sets out what it does not undo.
- What withdrawal does not undo. Output that is the example for a published template stays viewable in that template's listing until the template itself is taken offline or deleted; if you want that to stop, take the template offline or ask us. Templates made from your Output, and videos other users have already made from them, are separate content and are unaffected. Purchases, template unlocks and the usage records behind them are not reversed by your withdrawal, and copies other users already hold remain theirs; this does not affect the cases in which the Return Policy and the Marketplace Rules return credits to a buyer. Covers and previews copied when a template was created are separate files and are not removed by your withdrawal. Records we keep for compliance — the agreement version you accepted, review records and the snapshot we take when content is reviewed for a recommendation, and audit logs — are retained. Withdrawal is not deletion of the underlying files: deleting a work is a separate request, we may refuse it while the work is published, is serving as a template example or has usage recorded against it, and in those cases you should ask us to take it down instead. If you publish the same Output again later, a recommendation it previously had may become live again without a further review.
6. Acceptable use
You may not use the Service to create or distribute illegal, infringing, defamatory, sexually explicit or abusive content, to impersonate real persons without consent, or to circumvent platform policies or rate limits. We may suspend access for violations.

8. 第三方平台与 AI 服务商
TikTok、YouTube 及我们使用的 AI 模型服务商都是独立服务,各有自己的条款。其 API 的可用性、配额与内容政策不在我们控制之内,可能影响本服务的功能。
9. Suspension and termination
We may suspend or terminate access for breach of these Terms, unlawful use or non-payment. You may stop using the Service at any time. When an account is terminated, credits earned through the Service are forfeited, subject to the mandatory consumer law of your place of residence. Unused purchased credits are handled under the Return Policy.
Where the account holds a plan, section 4a sets out what happens to the credits included in that plan and to the limits that came with it. Cancelling a plan under section 4a is not a termination under this section.
10. 免责与责任限制

11. Governing law
These Terms are governed by the laws of the Hong Kong Special Administrative Region, and the courts of Hong Kong have exclusive jurisdiction over any dispute arising from them, except as set out in the two paragraphs below.
Copyright counter-notices. If we remove or disable content after a copyright complaint and you send us a counter-notice asking for it to be restored, the law under which that counter-notice is made may require you to state that you consent to the jurisdiction of a particular court — for a counter-notice under section 512(g)(3)(D) of the United States Copyright Act, a United States federal district court — and that you will accept service of process from the person who complained. Where that is required, you make that statement and it is effective for that copyright dispute between you and that person. It does not change the law governing these Terms, it does not submit us to that court, and it does not give you a forum against us outside Hong Kong. To the extent the requirement and the first paragraph of this section cannot both be met, the requirement prevails for that counter-notice alone.
Consumers. If you use the Service as a consumer, nothing in this section takes away a right you have under the mandatory law of the country where you live to bring proceedings in the courts of that country, to have that law applied to your contract with us, or to rely on a protection of that law that cannot be excluded by agreement. The Return Policy describes the statutory withdrawal rights we apply.
